For this reason, your nonprofit needs a professional name that communicates a serious dedication to its mission and purpose.
  • Make it emotional. Whether your organization provides services for animals, displaced persons, or any other community, emotion and charity have a strong bond. Selecting a name that appeals to the emotions of both donors and clients will help build trust as well as your organization’s credibility.

Step 2: Follow the Nonprofit Naming Rules in North Dakota

Corporation Name Requirements

Your North Dakota nonprofit name must adhere to the guidelines laid out in Section 10-33-10 of the Century Code:

  1. The corporate name:
    1. Must be in letters or characters used in the English language as those letter or characters appear in the American standard code for information interchange (ASCII) table.
    2. Need not contain the word “company”, “corporation”, “incorporated”, “limited” or an abbreviation of one or more of these words.
    3. May not contain the words “limited liability company”, “limited partnership”, “limited liability partnership”, “limited liability limited partnership”, or any abbreviation of these words.
    4. May not contain a word or phrase that indicates or implies that the corporation:

(1) Is incorporated for a purpose other than:

(a) A lawful nonprofit purpose for which a corporation may be incorporated under this chapter; or

(b) For a purpose stated in its articles; or

(2) May not be incorporated under this chapter.

       e. May not be the same as or deceptively similar to:

(1) The name, whether foreign and authorized to conduct activities in this state or domestic unless there is filed with the articles a record that complies with subsection 2, of:

(a) Another corporation;

(b) A corporation incorporated or authorized to do business in this state under another provision of this code;

(c) A limited liability company;

(d) A limited partnership;

(e) A limited liability partnership; or

(f) A limited liability limited partnership;

(2) A name the right to which is, at the time of incorporation, reserved in the manner provided in section 10-19.1-14, 10-32.1-12, 10-33-11, 45-10.2-11, 45-13-04.2, or 45-22-05;

(3) A fictitious name registered in the manner provided in chapter 45-11;

(4) A trade name registered in the manner provided in chapter 47-25; or

(5) A trademark or service mark registered in the manner provided in chapter 47-22.

Putting It Into Practice

Most nonprofits in North Dakota are organized as corporations, but you can choose to organize a nonprofit in four other ways: an unincorporated association, a trust, an association, or a limited liability company (LLC). Each option has specific naming requirements you must follow.

For the purposes of this article, we’ll focus on the requirements for naming a nonprofit corporation.

Incorporating is the most common way to organize a nonprofit. While naming rules for corporations vary by state, some requirements apply nationwide. State standards in North Dakota include:

  • Your corporation’s name must be distinguishable from any other name on record within the state of North Dakota, including any reserved names. 
  • Your corporation’s name can’t contain the words “limited partnership” or “limited liability company”
  • Your corporation’s name can’t imply it was formed for any purpose other than that listed in the Articles of Incorporation.

Unlike many other states, North Dakota doesn’t require a nonprofit corporation’s name to include an identifier such as “company,” “incorporated,” “corporation,” “limited partnership,” “partnership,” or any equivalent abbreviation.

Tax Exemption Requirements

If you plan to file for tax-exempt status with the Internal Revenue Service (IRS), pay close attention to the wording you use in your nonprofit’s name. Any words that imply a political or lobbying affiliation may hinder your ability to file for 501(c)(3) status.

Step 3: Check If Your Business Name Is Available

After you chose one or several name options for your nonprofit, you’ll need to make sure it’s available. Every nonprofit must have a distinguishable name so it’s helpful to confirm the availability of your desired name prior to incorporation.
