For this reason, your nonprofit needs a professional name that communicates a serious dedication to its mission and purpose.
  • Make it emotional. Whether your organization provides services for animals, displaced persons, or any other community, emotion and charity have a strong bond. Step 2: Follow the Nonprofit Naming Rules in Tennessee

Corporation Name Requirements

Your Tennessee nonprofit name must adhere to the guidelines laid out in Section 48-14-101 of the Business Corporation Act:

  1. A corporate name:
    1. Must contain the word “corporation,” “incorporated,” “company,” or the abbreviation “corp.,” “inc.,” “co.,” or words or abbreviations of like import in another language (provided they are written in roman characters or letters); provided, that, if such corporation is formed for the purpose of an insurance or banking business, the name of such corporation need not contain any of the aforementioned words or abbreviations. A corporation using the corporate designations “limited” or “ltd.,” with such having been filed in the secretary of state’s office prior to May 29, 1989, may continue to use that corporate designation until such time as it files an amendment which in any way changes its corporate name; and
    2. May not contain language stating or implying that the corporation:
      1. Transacts or has power to transact any business for which authorization in whatever form and however denominated is required under the laws of this state, unless the appropriate commission or officer has granted such authorization and certifies that fact in writing;
      2. Is organized as, affiliated with, or sponsored by, any fraternal, veterans’, service, religious, charitable, or professional organization, unless that fact is certified in writing by the organization with which affiliation or sponsorship is claimed;
      3. Is an agency or instrumentality of, affiliated with or sponsored by the United States or the state of Tennessee or a subdivision or agency thereof, unless such fact is certified in writing by the appropriate official of the United States or the state of Tennessee or subdivision or agency thereof; or
      4. Is organized for a purpose other than that permitted by § 48-13-101 and its charter.
  2. [T]he name of a domestic corporation, and the name of a foreign corporation that is authorized to transact business in this state or is applying for a certificate of authority to transact business in this state, shall be distinguishable upon the records of the secretary of state from the respective names of or for every other entity, whether true, assumed, reserved or registered, to the extent the use or reservation of such names is evidenced by a filing with the secretary of state under applicable law.

Putting It Into Practice

Most nonprofits in Tennessee are organized as corporations, but you can choose to organize a nonprofit in four other ways: an unincorporated association, a trust, an association, or a limited liability company (LLC). Each option has specific naming requirements you must follow.

Incorporating is the most common way to organize a nonprofit. While naming rules for corporations vary by state, some requirements apply nationwide. State standards in Tennessee include:

  • Your corporation’s name must be distinguishable from any other name on record within the state of Tennessee, including any reserved names. 
  • Your corporation’s name can’t include the words or phrases “bank”, “banks”, “banking”, “credit union”, or “trust” without obtaining permission from the Tennessee Department of Financial Institutions.

Unlike many other states, Tennessee doesn’t require a nonprofit corporation’s name to include an identifier such as “company,” “incorporated,” “corporation,” “limited partnership,” “partnership,” or any equivalent abbreviation.

If you plan to file for tax-exempt status with the Internal Revenue Service (IRS), pay close attention to the wording you use in your nonprofit’s name. Any words that imply a political or lobbying affiliation may hinder your ability to file for 501(c)(3) status.

Step 3: Check If Your Business Name Is Available

After you chose one or several name options for your nonprofit, you’ll need to make sure it’s available. Every nonprofit must have a distinguishable name so it’s helpful to confirm the availability of your desired name prior to incorporation.
