WHAT IS AN ANNUAL REPORT?
In Michigan, an annual report is a regular filing that your LLC must complete every year. The report is essentially updating your registered agent address and paying a $25 fee. All LLCs are required to file their annual report with the Michigan Secretary of State.
The purpose of this report is to keep your business records up to date with the state of Michigan. This allows creditors and other interested parties to look up your business address in case they need to contact you. The government uses this information to track the payment of your LLC's state taxes.

HOW DO I FILE?
You can file your LLC's annual report through the Michigan Department of Licensing and Regulatory Affairs website. Additionally, the state will send a pre-printed form to the office of your registered agent for your company 90 days before the report is due.

Instructions: You will need your LLC State ID number. If you do not know your i.d. number, you can use the business entity search to find it.
Filing deadlines: Michigan's Annual Report is due by February 15 each year, except for the first year in which your LLC was formed if your LLC was formed after September 30. For example, if you form your LLC in November of 2017, then you would not file your annual report until February of 2019.
Penalties for late filings: Michigan does not charge a fee for late filings. However, failure to file your annual report will result in the company no longer being in good standing after two years. At that time, your business name becomes available to any other corporation, limited partnership or limited liability company.
