What Is an Annual Report?
Previously, the Pennsylvania Department of State only required a decennial report to be filed in years ending in 1 (i.e., 2011, 2021, etc.). As of November 2022, these filing requirements have been repealed and replaced with an annual report requirement.
This annual report is meant to update your business information, including:
- LLC name
- Your registered office address
- The name of at least one LLC member
- Your principal office address
- Your Pennsylvania DOS entity number
The purpose of this report is to keep your business records up to date with the Commonwealth of Pennsylvania. This allows creditors and other interested parties to look up your business address in case they need to contact you. The government uses this information to track the payment of your LLC state taxes.

How Do I File an Annual Report?
Annual report filing for LLCs will go into effect in 2024. The fee will be $7, and the filing deadline will be September 30. The Department of State will have a “transition period” regarding late filing, which will not be penalized until 2027.
