What Is an Annual Report?

In Tennessee, an annual report is a regular filing that your LLC must complete every year. The report is essentially updating your registered agent address and paying a $50 fee per member (with a minimum of $300 and a maximum of $3,000). All LLCs are required to file their annual report with the Tennessee Secretary of State.

The purpose of this report is to keep your business records up to date with the state of Tennessee. This allows creditors and other interested parties to look up your business address in case they need to contact you. How Do I File?

Fee: Filing fee is $50 per member with a minimum fee of $300 and maximum fee of $3,000.

Instructions: You will need your LLC State ID number. If you do not know your i.d. number, you can use the business entity search to find it.

Filing deadlines: Tennessee's Annual Report is due by the first day of the fourth month following the close of the LLC's fiscal year.

Penalties for late filings: Tennessee does not charge a fee for late filings. However, failure to file your annual report within 60 days of the due date may result in the state dissolving or revoking your LLC.
