How to Form an LLC in New Jersey
You can start an LLC in New Jersey on your own in six easy steps:
1. Name Your New Jersey Company
You won’t be able to form your venture until you actually name it. Follow the LLC naming rules that are outlined in the New Jersey naming requirements, to ensure it is done correctly.
Then, make sure the name you want isn't already taken by doing a name search on the State of New Jersey's website.
We also recommend using our LLC Name Generator tool to help secure a domain name for your new company.
2. Choose a Registered Agent
You are required to have a registered agent for your New Jersey LLC. This role includes an individual or business entity receiving legal documents, government correspondence, and more on behalf of your company.
If you form your enterprise online by creating an account through the State of New Jersey website, you’ll gain access to all the resources you need to appoint a registered agent.
If you form a company by mail, download the Business Registration Packet, fill out the required fields and submit a physical copy with the Division of Revenue. Your registered agent’s name and address will be requested on page 23, Section 8.

3. File the Certificate of Formation
To register your new venture, you will need to file the Certificate of Formation with the New Jersey Division of Revenue. You can apply online, by mail, or in person.

4. Register Your Business for Tax and Employer Purposes
New Jersey LLCs must register with the New Jersey Division of Revenue and Enterprise Services for business entity and tax filings within 60 days of LLC formation. Read more about the registration process in our full guide.
5. Create an Operating Agreement
An operating agreement is a legal document that dictates the ownership structure and operating procedures of your LLC.
Although an operating agreement is not required, it’s recommended. According to New Jersey Revised Statutes Section 42:2C-2, all members of an LLC may enter into a written operating agreement to regulate the internal affairs of the company.
You can read more about New Jersey LLC operating agreements in our full guide.
6. Get an EIN
You can think of an Employer Identification Number as a Social Security number for your New Jersey LLC. Get one for free through the IRS website.
The cost to start a New Jersey LLC is $125.
You can file your annual report through the Division of Revenue of Enterprise Services website. Prior to filing, you must input your NJ Business Entity Identification Number (which you can find with a business entity search), business type, and formation date.
Some local resources to consider include city or county chambers of commerce, regional Small Business Development Centers (SBDCs), or local startup accelerators.
