How to Form an LLC in Michigan

You can start an LLC in Michigan on your own in five easy steps:

1. Name Your Michigan LLC

You won’t be able to form your LLC until you actually name it. Be sure to follow the LLC naming rules that are outlined in the Michigan naming requirements.

Then, make sure the business name you want isn't already taken by doing an LLC name search online through the Michigan Department of Licensing and Regulatory Affairs (LARA).

We also recommend using our LLC Name Generator tool to help secure a domain name for your LLC in Michigan.

2. Choose a Resident Agent in Michigan

You are required to designate a resident agent, known in most states as a registered agent, for your Michigan LLC, which is an individual or business entity in charge of receiving legal documents, government correspondence, and more on behalf of your company.

If you form your LLC online via the MI Department of Licensing and Regulatory Affairs website, your registered agent’s name and contact information will be requested in Article IV of the online form.

If you form a Michigan LLC by mail, download the Articles of Organization, fill out the required fields and submit a physical copy with the Department of Licensing and Regulatory Affairs (LARA). You’ll be asked to provide your registered agent’s information near the bottom of page 1.

Learn more by reading our guide on Michigan resident agents.

3. File the Michigan Articles of Organization

To register your Michigan LLC, you'll need to file Form 700 - Articles of Organization with the Michigan Corporations Division. You can apply online, by mail, or in person.

4. Create an Operating Agreement

An operating agreement is a legal document that outlines the ownership structure and operating procedures of your LLC in Michigan.

Although an operating agreement is not required, it’s recommended. According to Michigan Business Statutes Section 450.4102(r), every Michigan LLC may adopt a written operating agreement to govern the company’s operating procedures.

You can read more about Michigan LLC operating agreements in our full guide.

5. Get an EIN

You can think of an Employer Identification Number as a Social Security number for your Michigan LLC. Get one for free through the IRS website
