How to Form an LLC in Minnesota

You can start an LLC in Minnesota on your own in five easy steps:

1. Name Your Company

You won’t be able to form your enterprise until you actually name it. Be sure to follow the LLC naming rules that are outlined in the Minnesota naming requirements.

Then, make sure the name you want isn't already taken by doing a Business Filings Search on the Minnesota Secretary of State's website.

2. Choose a Registered Agent

You are required to designate a registered agent for your Minnesota LLC, which is an individual or business entity in charge of receiving legal documents, government correspondence, and more on behalf of your company.

If you form your venture online by creating an account through the Minnesota Secretary of State website, after accepting the terms and conditions, you’ll gain access to a variety of electronic forms, including the Articles of Organization. This is where you’ll appoint your registered agent.

If you form your company by mail, download the Articles of Organization, fill out the required fields and submit a physical copy with the Secretary of State. Your registered agent’s name and contact information will be requested in Section 2.
