How to Form an LLC in Montana

You can start an LLC in Montana on your own in five easy steps:

1. Name Your Business

You won’t be able to form your company until you actually name it. Be sure to follow the LLC naming rules that are outlined in the Montana naming requirements.

Then, make sure the name you want isn't already taken by doing a name search on the Montana Secretary of State website.

We also recommend using our LLC Name Generator tool to help secure a domain name for your venture.

2. Choose a Registered Agent

You are required to designate a registered agent for your Montana LLC, which is an individual or business entity in charge of receiving legal documents, government correspondence, and more on behalf of your company.

When you form your new enterprise online by creating an account through Montana Online Business Services, you’ll gain access to all the resources you need to appoint a registered agent.

Learn more by reading our guide on Montana registered agents.

3. File the Articles of Organization

To register your company, you will need to file the Articles of Organization with the Secretary of State. This can be done online.

Learn more with our Montana Articles of Organization guide.

4. Create an Operating Agreement

An operating agreement is a legal document that outlines the ownership structure and operating procedures of your venture.

Although an operating agreement is not required, it’s recommended. According to Montana Code Section 35-8-109, all members of an LLC may enter into an operating agreement to regulate the affairs of the company.

You can read more about Montana LLC operating agreements in our full guide.

5. Get an EIN

You can think of an Employer Identification Number as a Social Security number for your enterprise. Get one for free through the IRS website.

It costs $70 to form a Montana LLC online.

You can file your annual report through the Secretary of State website. You will need an ePass account in order to complete the filing process.

Some local resources to consider include city or county chambers of commerce, regional Small Business Development Centers (SBDCs), or local startup accelerators.
